  • Review operational status versus the financial plans
  • Review and approve major capital projects
  • Assess performance of the President
  • Assess performance of the board
  • Review, provide direction and approve annual strategic plan
  • Review, provide direction and approve annual financial plan
  • Determine annual compensation of President
  • Approve annual compensation of senior management
  • Determine compensation of board members
